Whether a business is already established or just starting
out, you will have to make organizational decisions. The
choices include Sole Proprietorship, Partnership, Limited
Partnership and Corporation. Each choice has advantages and
disadvantages. My practice can advise small businesses on
the type of business organization that is best suited to their
needs.
If a Partnership or Limited Partnership is selected, the
owners should have a Partnership Agreement drafted for them.
This provides the basic rules for operating the partnership and
governing the relationship between the partners. It is
important to have this agreement so that disputes can be avoided
or resolved without costly litigation.
Corporations are more complex than Partnerships but offer
many advantages. My office can assist in drafting all
corporation documents including Articles of Incorporation, By-laws,
periodic filings and Shareholder Agreements.
Legal Fees:
I charge a flat fee for most of these services, however
subsequent filings for Corporations are charged on an hourly
basis. Franchise-related matters are also charged on an
hourly basis as their complexity varies widely. All legal
fees are subject to GST. There will also be some
disbursements (additional costs) required to cover document
registration fees, etc.
